Please read these Terms of Service carefully before using the Legato platform. These terms constitute a legally binding agreement between you and Legato Studio Management, Inc.
1. Acceptance of Terms
By creating an account or using the Legato platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree with these Terms, you may not access or use the Service.
2. Description of Service
Legato is a studio management platform designed for music educators. The Service provides tools for lesson scheduling, student management, billing and invoicing, lesson notes, repertoire tracking, and related administrative functions. We may update, modify, or discontinue features of the Service from time to time.
3. Account Registration
Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to create an account and use the Service.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@legatostudio.com if you suspect any unauthorized access to your account.
Accurate Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.
4. Subscription & Billing
Free Trial
New accounts receive a 30-day free trial with access to all features. No credit card is required to start a trial. At the end of your trial, you must subscribe to a paid plan to continue using the Service.
Paid Plans
Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Pricing is listed on our website and may be updated from time to time with 30 days' notice.
Payment Processing
All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable subscription fees to your payment method.
Refunds
Annual subscriptions are eligible for a full refund within the first 14 days of purchase. Monthly subscriptions are non-refundable. If you cancel mid-cycle, you will retain access to the Service through the end of your current billing period.
Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. Your data will be retained for 30 days after cancellation, after which it will be permanently deleted unless you request an export.
5. Your Data & Content
Ownership
You retain all ownership rights to the data and content you upload to the Service, including student information, lesson notes, repertoire lists, and financial records ("Your Content"). Legato does not claim ownership of Your Content.
License Grant
By uploading Your Content, you grant Legato a limited, non-exclusive license to store, process, and display Your Content solely as necessary to provide and improve the Service.
Data Portability
You may export Your Content at any time through your account settings. We support standard data export formats to ensure portability.
Responsibility
You are solely responsible for the accuracy and legality of Your Content. If you store information about minor students, you are responsible for obtaining any required parental or guardian consent as required by applicable law.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Service or other users' accounts
- Use the Service for any purpose other than managing a music teaching practice
- Resell, sublicense, or redistribute the Service without our prior written consent
- Interfere with or disrupt the integrity or performance of the Service
- Harvest or collect information about other users without their consent
We reserve the right to suspend or terminate your account if you violate these guidelines.
7. Intellectual Property
Our Property
The Legato platform, including its design, code, logos, trademarks, documentation, and all related intellectual property, is owned by Legato Studio Management, Inc. These Terms do not grant you any right, title, or interest in our intellectual property.
Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback to improve the Service without obligation to you.
8. Third-Party Services
The Service may integrate with third-party services such as payment processors, calendar applications, and communication tools. Your use of third-party services is subject to their respective terms and privacy policies. Legato is not responsible for the actions, content, or practices of third-party services.
9. Service Availability & Disclaimers
Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with advance notice and may need to perform emergency maintenance without notice.
Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that defects will be corrected.
10. Limitation of Liability
To the maximum extent permitted by law, Legato and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability.
Our total cumulative liability for all claims arising from or related to the Service shall not exceed the amount you paid to Legato in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Legato and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Dispute Resolution
Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
Arbitration
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in English in the State of Delaware. Each party shall bear its own costs unless the arbitrator determines otherwise.
Class Action Waiver
You agree that any disputes will be resolved on an individual basis and not as part of a class, consolidated, or representative action.
13. Modifications to Terms
We may modify these Terms from time to time. Material changes will be communicated to you via email or through a notice in the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes your agreement to the modified Terms. If you do not agree, you should stop using the Service and cancel your account.
14. Termination
We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections related to intellectual property, liability, indemnification, and dispute resolution shall survive termination.
